Access Global Terms and Conditions

Summary of key terms 

This summary is for Your convenience only. It is not part of the Agreement and is not binding on either of us. The binding terms are the ones set out below this summary. 

What this is 

The standard terms for Our supply of Products and Services to You. They apply alongside each Order You sign. 

Who You're contracting with 

One of the Access Group entities, depending on what You've bought and where You're based. The specific entity, and the law and courts that apply, are set out at Appendix 1, A1.1. 

How long it lasts 

The Order may specify these periods, where it is not specified in the Order, An initial term of 36 months, then it renews for further 12-month periods unless either of us gives 90 days' notice to terminate.  

Payment 

You must pay the Fees in Your Order. We may raise prices once a year. Late payment after 30 days' written notice gives Us the right to suspend access, charge interest, and remove discounts. 

What We own / what You own 

We own the Products, the Services and everything We do for You. You keep ownership of Your own data and content; You give Us a licence to use it so We can deliver the Products and Services to You. 

Confidentiality 

Each of us protects the other's confidential information and only uses it for this relationship. 

Data protection 

Our processing of personal data is governed by Our Data Processor Terms. 

Our liability to You 

Capped at the Fees You paid Us in the 12 months before the issue. We do not accept liability for indirect or consequential losses. Some things — death, fraud and a small number of indemnities — are not capped. 

Your liability to Us 

Same cap, with the same exceptions. Infringement of Our IP rights, the indemnities You give Us, and Your obligation to pay Fees, are not capped. 

Ending the agreement 

Either of us can terminate for unremedied material breach (30 days' notice) or insolvency. Either of us can end the agreement at the end of a term on 90 days' notice. 

Disputes 

We try to resolve disputes between ourselves, then by mediation, before going to court. 

Changes to these terms 

We can update these terms only by agreement, except where We need to amend them to comply with law. 

Definitions 

Capitalised terms in these terms have the following meanings. Lower-case terms have their ordinary English meaning. Some terms referenced in the linked policies and product-specific terms are defined in those documents. 

Acceptable Use Policy Our policy at the link in clause 4.4, as We update it from time to time. 

Access Product(s)  Any CaaS, SaaS, Software (including components or modules that are owned by Us and made available under this Agreement), or any other product as described in the relevant Order (excluding Services). Where multiple Access Products are purchased, the definition shall apply to multiple Access Products. 

Access Success Plan the packaged support service set out in Your Order, delivered in line with the relevant datasheet in Appendix 2. 

Account Country the country associated with Your account. This is the country of Your valid tax registration (if You have provided one); otherwise the country where Your billing address is located; except that, if You have a credit card associated with Your account that is issued in a different country and Your contact address is also in that country, Your Account Country is that different country. 

Agreement the agreement between us, as described in clause 1.2, made up of these terms, each Order, the Data Processor Terms, and the Product Specific Terms (each as applicable). 

AI Terms  Our terms governing use of any AI Features, at https://www.theaccessgroup.com/en-gb/legal-hub/ai-terms, which We update from time to time. The AI Terms form part of this Agreement and apply to all use of AI Features. Where the AI Terms conflict with the rest of the Core Terms in respect of AI Features, the AI Terms prevail. 

API Supplementary Terms Our supplementary API terms at https://www.theaccessgroup.com/en-gb/legal-hub/api-supplementary-terms/, which We update from time to time. 

Audit Conditions Our audit terms at https://www.theaccessgroup.com/en-gb/legal-hub/audit-conditions/ which We update from time to time. 

Authorised Users  any employee of Yours or a Permitted User (and not an employee of any Group Companies).  

Confidential Information any information about either of us, however shared, that relates to business, affairs, operations, customers, processes, budgets, pricing, product information (including technical and security information), strategies, developments, trade secrets, know-how, personnel or suppliers; any information designated confidential; and any other information which ought reasonably to be treated as confidential — whether or not marked as such. 

Contract Year each 12-month period during the Licence Term, starting from the Start Date — or any other period Your Order specifies. 

Consulting Services  the consultancy services set out in an Order. These may include, for example, FlightPath, training, implementation, configuration, integration and general IT consultancy services.

Critical Upgrade an update to a product that is critical to its security or functionality, or to personal data, as We identify acting reasonably. 

Customer Content  information, Software, photographs, text, video, graphics, music, sound and other material that You or Your Authorised Users provide and display or make available through a product. Customer Content does not include Customer Data, Outputs or Configured Assets (each as defined in the AI Terms), which are governed exclusively by the AI Terms. 

Data Processor Terms  the terms that govern Our processing of Your personal data, as determined in our Data Protection Legal Hub  

Documentation the user guides, manuals and other materials We make available describing the products and how to use them, as We update them from time to time. 

DORA Regulation (EU) 2022/2554 of the European Parliament and of the Council of 14 December 2022 on digital operational resilience for the financial sector, and amending Regulations (EC) No 1060/2009, (EU) No 648/2012, (EU) No 600/2014, (EU) No 909/2014 and (EU) 2016/1011. 

Effective Date  the date You sign the Order. 

Fees  all amounts payable by You to Us under this Agreement, including subscription fees, licence fees, support fees, consulting fees, usage charges, excess usage charges, and any other amounts set out in or arising under an Order, in each case as may be varied in accordance with this Agreement. Fees are exclusive of tax. 

FlexPoints — Our means of pre-purchasing eligible Consulting Services, on the terms of the FlexPoints Datasheet. 

FlightPath — Our defined implementation process for a product, where available, as described at theaccessgroup.com/flightpath-overviews. 

Further Term  a 12-month renewal period, or any other period the Order specifies. 

Group Companies any holding company, subsidiary, or fellow subsidiary of either of us. "Subsidiary" and "holding company" have the meanings given in section 1159 of the Companies Act 2006 (UK), as amended, regardless of the governing law of this Agreement. 

Initial Term  36 months from the Start Date, or any other period the Order specifies. 

Intellectual Property Rights all intellectual and industrial property rights anywhere in the world, registered or not (including applications), including patents, trademarks, logos, brand and company names, database rights, design rights, inventions, discoveries, know-how, and copyrights (including in Software). 

Installation Date  the sooner of the date the Software (or SaaS, as applicable) is made available or 90 days after the Effective Date. 

Licence Term the Initial Term plus any Further Term. 

Mediation Notice a notice starting the mediation process under clause 8.3. 

Order each document We sign together that sets out the products or services We will supply to You, including any commercial terms. This includes an order form, a statement of work, or anything similar that we both sign relating to the products or services. Some Orders prepared by Us only require Your signature. 

Permitted User — an entity (including You and Your Authorised Users) listed in an Order. 

Product(s) Our products as identified in Your Order — CaaS, SaaS, Software and any other product We describe there (but not services). 

Product Fact Sheet  the content described as a ‘product fact sheet’ made available by Us and relevant to the Access Product being purchased by You in any Order. 

Product Specific Terms  Those Supplementary Terms as referred to in Appendix 3 which apply where the corresponding Access Product is being purchased. 

Sanctioned Country  means Cuba, Iran, North Korea, Syria, Russia or any of the Russian-occupied territories of Ukraine.  

Sanctions Target  means any natural or legal person that is (a) subject to any economic, trade or financial sanction, export control, embargo and/or military or dual-use restriction administered by the United Nations, the United States of America, the United Kingdom, the European Union (including any member state) and/or any other jurisdiction applicable to the Access Contracting Party, (b) resident in or incorporated under the laws of a Sanctioned Country or (c) owned or controlled, directly or indirectly, by such a person described under clause(s) (a)-(b), to the extent that such ownership or control results in such person being subject to the same restrictions as the natural or legal person described under clause(s) (a)-(b).  

Service(s)  the technical support, Consulting Services, FlightPath, hosting infrastructure services, hardware support, and any other professional services We provide as set out in Your Order — but not the products. (Some service categories, such as variable consumed services and FlexPoints-bookable services, are described in product-specific or service-specific terms.) 

Software  the Access Product as specified in the Order, which is considered Software not SaaS. 

Start Date the Effective Date, or any other date set out in Your Order. 

Supplementary Terms  Any additional terms, policies or documents (other than the Data Processor Terms) linked or referred to in the Core Terms. 

Transfer Regulations any law (regardless of the governing law of this Agreement) that applies on the start or end of this Agreement and deals with the transfer of employees from one party to the other. An example is the Transfer of Undertakings (Protection of Employment) Regulations 2006 in England and Wales, and any successor legislation. 

We, Us, Our — the Access entity identified in Appendix 1 as Your contracting party. Where relevant, this includes Our Group Companies. 

Warranty Period  means 12 months from the Start Date 

Website Customer Terms the commercial terms on Our website that apply if You bought an eligible product directly from Our website. 

You, Your — the customer named in the Order. 

1. About this Agreement 

1.1 These are the standard terms on which We supply Our Products and Services. They form part of the Agreement between us, alongside each Order You sign. By signing an Order, You accept these terms. 

1.2 What this Agreement consists of 

1.2.1 The Agreement between us is made up of: 

(a) each Order under this Agreement; 

(b) the Core Terms; 

(c) the Data Processor Terms and 

(d) any Supplementary Terms including the Product Specific Terms that apply to particular Products and Services. 

1.2.2 If anything in these documents conflicts, the order of precedence is:  

(i) any additional terms in the Order that expressly refer to this clause 1.2.2 

(ii)  Website Customer Terms (if any) that apply; 

(iii)  the Core Terms; 

(iv) the Product Specific Terms; 

(v) any other Supplementary Terms; 

(vi) the Order.  

1.3 Which Access entity You contract with 

1.3.1 The specific Access Group entity that contracts with You depends on the Product You have bought and the country Your account is based in. Appendix 1 sets this out, along with the governing law and the courts that apply. 

1.3.2 A single Order may include Products supplied by more than one Access entity. Where that is the case, You will have a separate agreement with each relevant Access entity in respect of the Products it supplies to You.  

1.3.3 Where You have bought Consulting Services without the underlying Product, the contracting entity is the one that supplies the Product to which the consulting relates. 

1.4 Updates to these terms 

1.4.1 The terms behind  https://www.theaccessgroup.com/en-gb/legal-hub/core-terms may change from time to time. The terms that apply to Your Agreement are the ones live on the date You sign Your Order, unless this Agreement says otherwise. You can find archived versions of the Core Terms, Data Processor Terms and Product Specific terms at:  https://www.theaccessgroup.com/en-gb/legal-hub/documents/archive 

2. Your subscription 

2.1 Term and renewal 

2.1.1 The Agreement starts on the Start Date and runs for 36 months (the Initial Term), unless Your Order says otherwise. 

2.1.2 At the end of the Initial Term, the Agreement renews automatically for further periods of 12 months each (each a Further Term), unless terminated in accordance with the termination provisions at clause 9.  

2.1.3 Either of us can terminate an Order at the end of the Initial Term or any Further Term by giving the other at least 90 days' notice. If You are terminating, You must use the Access digital assistant at this page: https://help-financehub.theaccessgroup.com/en/articles/11662394-our-account-support-experience 

2.2 Buying more 

2.2.1 If You purchase more Products or Services, We will enter into a new Order.  

2.2.2 Any Additional Terms included in an Order will only apply for its Initial Term. After that, the then-current version of these terms applies on renewal/commencement of any Further Term. 

3. Payment 

3.1 How You pay 

3.1.1 You agree to pay the Fees in line with the terms set out in each Order and without deduction or set-off. Except where explicitly stated in the Agreement, Fees are non-refundable. All Fees are exclusive of tax, which is added at the applicable rate. 

3.2 Price increases 

3.2.1 We can increase the Fees no more than once in each Contract Year. The Fees in an Order will not reduce during the Licence Term. At the end of the Initial Term or any Further Term, We can revert Your Fees to Our then-current list price. 

3.2.2 Clause 3.2.1 shall not apply to FlexPoints fees, which are fixed for their Initial Term. 

3.3 Late payment 

3.3.1 If any Fees become overdue, and You have not disputed the Fees reasonably and in good faith prior to the payment due date, the late-payment process is: 

(a) We will provide You written notice that the amount is overdue either via email or by notification within the Product itself; 

(b) if the Fees remain unpaid 30 days after that notice, We can: 

(i) suspend or remove Your access to the Products and Services; 

(ii) charge interest at 4% per annum above HSBC's base rate in Your Account Country (where the governing law permits); and  

(iii) remove any discount applied to Your Fees with effect from the date You received Our notice; 

(c) Your payment obligations continue in full during any period of suspension. 

3.3.2  If any Fees become overdue and You have not disputed those Fees reasonably  and in good faith prior to the payment due date, then the aggregate of all Fees  You have committed to pay for the remainder of the then current term across all  Orders then in effect (the "Accelerated Sum") will, at Our election and on  written notice to You, become immediately due and payable. We may give that  notice either: 

(a) at any time after the 30 day period referred to in clause 3.3.1(b) has expired;  or 

(b) on or at any time after We terminate the affected Products and Services (or  this agreement) for Your non-payment. 

 3.3.3 The Accelerated Sum: 

(a) excludes any Fees You have disputed reasonably and in good faith in  accordance with clause 3.3.1; and 

(b) carries interest under clause 3.3.1(b)(ii) on any part of the Accelerated Sum  that remains unpaid more than 14 days after the date of Our notice under clause  3.3.2, running from the end of that 14-day period until payment in full. 

3.3.4 The Accelerated Sum represents Fees You have already committed to pay for the  term You selected, and acceleration changes only the time for payment and not  the amount owed. Acceleration does not limit any other right or remedy available to Us.  

4. Using the products 

4.1 Who can use them 

4.1.1 The Products are licensed to and can be used by:  

4.1.1.1 You;  

4.1.1.2 Your Permitted Users; and  

4.1.1.3 Your Authorised Users 

Permitted Users may use the Products on the same terms, but You are responsible for what they do. Anything they do or fail to do counts as Your act or omission. 

4.1.2 You shall designate one main contact and one alternate (Your system administrator) to act as Your authorised representative for all communications with Us under this Agreement.  

4.2 What You can do with the products 

4.2.1 You can use the Products as We supply them, configure the parts that are designed to be configured, and let Your Authorised Users access them in line with this Agreement. 

4.2.2 You cannot: 

(a) sell, transfer or sublicense Your access credentials, except by sharing them with Your Authorised Users in line with this Agreement; 

(b) reverse-engineer, decompile, modify or otherwise interfere with the Products or any third party products, or expose their source code, internal logic or algorithms in any way; 

(c) attempt to obtain source code, or to remove or get round any security devices in the Products; or 

(d) carry out penetration testing on the Products. You can ask Us in writing (no more than once in any Contract Year) for a redacted copy of Our latest penetration test report on the relevant product. 

4.2.3 If We provide application programming interfaces (APIs) as part of a Product or Service, the API Supplementary Terms also apply. Using an API means You accept those terms. 

4.3 Access credentials and MFA 

4.3.1 You are responsible for keeping all log-on credentials (usernames, passwords, and anything similar) secure and confidential, and for all activities that occur under those log-on credentials. Where multi-factor authentication (MFA) is available for a Product, You must enable it and keep it enabled. 

4.3.2 If a credential is compromised, notify Us immediately. We will remove its permissions and issue a replacement. If MFA was available but You had not enabled it before the compromise, You shall indemnify Us against all costs, claims, expenses (including reasonable legal costs) and liabilities (direct and indirect) that We incur as a result. 

4.4 Your Authorised Users 

4.4.1 You require each Authorised User, as a condition of access, to agree to the relevant terms of this Agreement and to Our Acceptable Use Policy. If You become aware that an Authorised User is in breach, You shall notify Us immediately and remove their access. 

4.5 Usage limits 

4.5.1 Some Products have usage limits (thresholds) set out in Your Order. If You go over a threshold, We will invoice You for the excess from when it started, and We will increase the threshold and associated Fees for the next Contract Year at Our then-prevailing rates. We may, at Our discretion, remotely assess whether Your use of the SaaS exceeds any agreed thresholds. If You wish to discuss Your thresholds or entitlements, please contact Us using the form available here:  https://help-financehub.theaccessgroup.com/en/articles/11662394-our-account-support-experience 

4.6 Updates and Critical Upgrades 

4.6.1 We may recommend updates to the Products from time to time. Some updates, such as those that are critical to the security or functionality of the Products or to personal data, are Critical Upgrades, and We will tell You when one applies. You must engage with the upgrade process and implement Critical Upgrades within the timeframe We specify, and You accept reasonable charges for Our work in doing so. 

4.6.2 If You do not implement a Critical Upgrade, We may limit technical support, You take on the security risks of running an unpatched version, We may terminate the Agreement for non-compliance, and You will indemnify Us against any costs, claims and liabilities (direct and indirect) that We incur as a result. 

4.7 As-is supply 

4.7.1 We supply the Products as-is, to the maximum extent permitted by the governing law, except as expressly warranted at clause 4.7.2. We have not tailored them to Your specific requirements, it is Your responsibility to verify. 

4.7.2 We warrant that, during the Warranty Period, the Product will operate in all material respects in accordance with the Documentation when used in accordance with it, and that its functionality will not be materially decreased during the Licence Term. We will obtain and maintain all licences and consents We need, and will comply with the laws that apply to the Product. This warranty depends on all Fees being paid up to date and on You using current virus scanning software. It does not cover minor errors that do not materially affect functionality, and We do not warrant that the Product will be uninterrupted or error-free. 

4.8 Our right to check Your use 

4.8.1 We can verify that Your use of the Products complies with this Agreement. You must co-operate with Us reasonably and give Us access to the relevant systems and records. If You refuse or delay, We can suspend or terminate Your access and pursue any other available remedy. 

4.8.2 If We find unauthorised use or other non-compliance, You will reimburse Our reasonable verification costs and pay Us additional fees for the unauthorised use, calculated at Our standard list price on the invoice date. 

4.8.3 If You have the right to audit Us in Your Order, that audit is subject to Our Audit Conditions. If You do not meet the Audit Conditions, We can postpone the audit, end it early, or require deletion or return of any recordings made without Our prior written consent. 

5. Support and services 

5.1 Services generally 

5.1.1 We will perform all Services set out in Your Order in accordance with good industry practice, and will use appropriately skilled and qualified personnel. We rely on the accuracy and completeness of any data, documents and information You give Us, and We are not obliged to verify them. 

5.1.2 To help Us deliver, You shall: 

(a) give Us reasonable access to the relevant locations, equipment and systems; 

(b) make qualified personnel familiar with Your equipment and operations available to Us free of charge; 

(c) make the Documentation, information, data and computer facilities We reasonably need available to Us free of charge; 

(d) appoint a representative for matters under each Order; 

(e) ensure Your equipment meets the agreed specification; and 

(f) remain responsible for any third party that You control or have a contract with, and on whom We rely. 

Implementation will involve some disruption to Your staff and processes — that is inherent in the work. 

5.1.3 If We delete or return Your data on Your instruction and You later need it restored, We will charge additional Fees at Our then-prevailing rates for the restoration work if it is possible to restore, and for any further work needed to re-input the data. 

5.1.4 We are not liable for delay caused by Your failure to co-operate. Any rescheduling that results may attract additional charges. 

5.2 Consulting Services 

5.2.1 We will perform Consulting Services on a time-and-materials basis, or on the basis of a FlightPath process, in each case as set out in Your Order. 

5.2.2 Fees in an Order for Consulting Services are estimates only, and exclude travel, subsistence and accommodation expenses, all of which are charged as incurred under Our Expense Policy which is available  here: http://www.theaccessgroup.com/privacy-and-legal/ 

5.2.3 If You cancel or postpone Consulting Services, fees may be payable in accordance with Our https://www.theaccessgroup.com/en-gb/legal-hub/cancellation-policy/

5.3 Technical support 

5.3.1 We will provide technical support from the date You sign the Order and throughout the Licence Term at the level of the Access Success Plan You have bought. If Your Order does not specify an Access Success Plan and the Agreement does not specify an alternative, You will receive the Essential plan. The plan in effect is the version of the relevant datasheet (see Appendix 2) live on the date You sign Your Order; We may change the Services within a plan, but only with effect from the start of Your next Further Term. 

5.3.2 If You buy additional licences, sites or modules, they will sit at the same plan level and associated Fees as Your existing subscription. 

5.3.3 We shall not provide technical support for: 

(a) data lost or corrupted other than through Our (or Our suppliers') negligence; 

(b) Products altered by anyone other than Us; 

(c) attendance to faults caused by Your failure to follow the Documentation, or by operator error; or 

(d) attendance to faults attributable to Your equipment, or in software with which Our Products are not compatible, or on equipment We have not approved in writing. 

5.3.4 If You use a third party consultant We have not approved to configure the Products, We may charge for any consulting work We do to fix configuration issues, and We may end technical support. 

5.3.5 Technical support is available via Our online service, provided You enable the required connections. We shall determine the most effective medium for effective support. 

5.4 AI features 

5.4.1 Where a Product or feature is one of Our AI-enhanced Products (including Access Evo), the AI Terms will apply. If You, Your Permitted Users or Your Authorised Users do not comply with those terms, We may issue a written warning, suspend or withdraw access to the feature, or end the Order for that feature. 

5.5 SaaS terms 

5.5.1 In return for Your payment of the Fees, We grant You a non-exclusive, revocable, non-transferable right (with no right to grant sub-licences) to use the Product. This right starts when We provide the Product and continues for the Licence Term. 

5.5.2 We may add, remove or amend features of the Product without notice, including turning off or limiting any application programming interfaces (APIs). Where We change or discontinue an API, We will use commercially reasonable efforts to continue supporting the previous version for 12 months, unless doing so would (a) pose a security or intellectual property risk, (b) be economically or technically burdensome, or (c) be necessary to comply with the law or a government request. 

5.5.3 The Product may include security components that protect digital material. Use of that material is subject to the usage rules set by Us or Our content providers. You will not override or circumvent those rules, and You will not reproduce, publish, distribute or publicly exhibit that material without authorisation. 

5.5.4 We will supply the Product in accordance with the SaaS service level agreement (Appendix 4), unless the relevant Product Fact Sheet says otherwise. 

5.6 Product-specific terms 

5.6.1 A number of Our products are governed by additional product-specific terms that will apply alongside this Agreement. Appendix 3 lists them. We may update them from time to time. 

6. Confidentiality and data 

6.1 Confidential information 

6.1.1 Each of us may share Confidential Information in connection with this Agreement. Each of us: 

(a) will hold the other's Confidential Information in confidence; 

(b) will not share it with anyone else, except with employees, agents and sub-contractors who need to know and are under at least as strict confidentiality obligations; and 

(c) will not use it for any purpose other than this Agreement. 

6.1.2 Information is not confidential if it is or becomes public other than through the receiving party's fault, if the receiving party already had it lawfully, if a third party lawfully gives it to the receiving party without restriction, or if the receiving party can show in writing that it developed the information independently. Anonymised or aggregated data We create from observing how the Products and Services are used is not Your Confidential Information. 

6.1.3 If either of us is required by law, regulator or court to disclose Confidential Information, we will give as much notice as we lawfully can and will take into account the other's reasonable requests on what is disclosed. Once disclosure has been made in line with this, neither of us is responsible for what a third party then does with the information. 

6.1.4 If You are a government body and You receive a freedom-of-information request that touches on Our Confidential Information, You will consult Us and will take Our representations into account before deciding — We recognise that Your decision under the FOI law is final. 

6.1.5 This clause 6.1 continues to apply after termination. 

6.2 Personal data 

6.2.1 Our processing of personal data for You is governed by Our Data Processor Terms, which form part of this Agreement. 

7. Ownership 

7.1 Our intellectual property 

7.1.1 We (or Our licensors) own all Intellectual Property Rights in the Products, Services, third party products and Documentation, including anything new that arises. Nothing in this Agreement transfers any of those rights to You. If somehow You acquire any of them, You will assign them to Us (or will hold them on trust for Us, if assignment is not possible) and will sign anything We reasonably need to give effect to that. 

7.2 Your intellectual property 

7.2.1 You (or Your licensors) own all Intellectual Property Rights in Your data and content. You will grant Us a non-revocable, non-transferable (other than to Our sub-processors and subcontractors), non-exclusive licence to copy, modify and use them for the Licence Term, to the extent We strictly need to in order to provide the Products and Services, including under Our Data Processor Terms. 

7.2.2 You warrant that You have the rights to the content You submit, that it is complete and accurate, and that displaying it through the Products will not breach any law (including advertising, alcohol licensing and gambling laws), injure anyone, or infringe any third party's intellectual property, privacy or publicity rights. You will indemnify Us against any claim resulting from a breach of those warranties. 

7.3 IP infringement claims 

7.3.1 We will protect You against third party IP claims arising from Your use of the Products: if a third party claims that Your use of Our Products, Documentation, or related materials We supply infringes its intellectual property, We will indemnify You against the direct costs, claims, expenses (including reasonable legal costs incurred with Our prior written approval) and liabilities You incur, provided You: 

(a) will tell Us promptly about the claim; 

(b) will not admit liability or settle without Our written consent; 

(c) will let Us (or any relevant third party supplier) handle and settle the negotiations and litigation at Our cost; and 

(d) will give Us reasonable help at Our expense. 

7.3.2 If a claim is made or threatened, or if We believe a Product may infringe a third party's copyright or registered patent (in each case as in effect on the date of this Agreement), We may, at Our option, obtain a licence so You can continue using it, modify or replace it without material adverse impact to functionality, or terminate the affected part of the Agreement and refund the unused portion of pre-paid Fees. 

7.3.3 This protection will not cover claims arising from Your use other than as permitted, Your failure to take reasonable corrective steps We identify, Your incorporation of Your own items into the Products, or Our use of Your IP under the licence You have granted Us. 

7.3.4 We also warrant that We are not aware of any third party IP infringement by the Products or Your permitted use of them, but We have not investigated. If We are in breach of that warranty, the same indemnity (and the same conditions and exclusions) will apply. 

8. When things go wrong 

8.1 Limits on liability 

8.1.1 The liability exclusions and limits in clause 8.1 of the Core Terms apply regardless of the legal theory of liability, whether based in contract, tort (including negligence), strict liability, statute or otherwise. They apply even if a party was warned that there was a possibility of loss or damages. They also apply even if a party's limited remedies are found to have failed their essential purpose. 

8.1.2 Each party's total liability under this Agreement is capped at the Fees You have paid Us in the preceding 12-month period under the relevant Order. 

8.1.3 Neither of us is liable for: misrepresentation (other than fraudulent); loss of profits, business, goods or contract; loss of goodwill; loss of use (direct or indirect); cover or punitive damages; cost of substitute services; or any indirect, special, incidental or consequential loss. This applies regardless of how the claim is framed and even if We have been told the loss was possible. 

8.1.4 We can, however, recover direct loss of revenue caused by Your abandonment of, or deliberate default under, this Agreement. 

8.1.5 Except as set out above, all warranties, conditions and other terms (express or implied by statute or common law) are excluded to the fullest extent permitted by law. 

8.1.6 Nothing in this Agreement limits or excludes either party's liability for: 

(a) death or personal injury caused by negligence; 

(b) fraud; 

(c) anything else that cannot be limited or excluded by law; 

(d) the indemnities You give Us for breach of the Customer Content warranties, for compromised credentials where MFA was available, for refusal to implement a Critical Upgrade, and for claims brought against Us by Permitted Users, and the indemnities We give You for IP infringement and breach of the IP warranty, plus any other indemnities specifically marked as un-capped in the Product Specific Terms or in the rest of this Agreement; 

(e) Your obligation to pay all Fees. 

8.1.7 Nothing in this Agreement caps Your liability for infringement of Our Intellectual Property Rights. 

8.2 Transfer regulations 

8.2.1 If, as a result of Us providing the Products and Services to You, an employee of Yours alleges or is held to have any rights or claims against Us under the Transfer Regulations, including any claim that their employment has, should have, or should be treated as having transferred to Us, whether or not they are actually employed by You, You indemnify Us against: 

(a) all employment-related amounts (pay, salary, bonuses, commissions, benefits, holiday pay, employment benefit costs, contractual payments due whether express or implied, statutory and contractual redundancy payments, protective awards, settlements, liability for wrongful or unfair dismissal, liability for discrimination awards), and all legal and professional fees, that We incur as a result. This covers losses relating to terms and conditions of employment, pensions, life assurance, health, welfare, or any other matter concerning the employee, and any claims they may bring against You or any third party in relation to any period before their employment transferred to Us; and 

(b) all claims or liabilities arising from any breach of the Transfer Regulations by You, Us or any third party in relation to that employee. 

8.2.2 If, when this Agreement ends, an employee of Ours alleges or is held to have any rights or claims against You on the same Transfer Regulations basis, We indemnify You on the equivalent terms to 8.2.1, on a mirror-image basis. 

8.3 Disputes 

8.3.1 This dispute process does not apply to unpaid, undisputed Fees. Those are dealt with under the late-payment process above, as a material breach. 

8.3.2 Discussions to explore or resolve a dispute take place on a without-prejudice basis, unless we both agree they are on an open basis. 

8.3.3 For any other dispute (or a Fees dispute we both agree to put through this process): 

(a) the people running the relationship for each of us try to agree a resolution. If they cannot resolve it within 30 days (or any other period we agree), each of us puts forward a senior representative, and they meet (in person or by phone) to try to resolve the matter consensually; 

(b) if the senior representatives cannot resolve it within a further 30 days, we attempt mediation under the CEDR Model Mediation Procedure (or any other model procedure we agree). Either of us starts the mediation by serving a Mediation Notice on the other and CEDR (or the agreed equivalent), and the mediation begins within 28 days of that notice. Neither of us starts legal proceedings until 30 days after the mediation has failed. Mediator's costs are paid as the mediator decides, or equally if not; 

(c) We both accept that the issues in a pre-litigation mediation may not be fully articulated; 

(d) if a dispute is not resolved through this process, either of us can submit it to the courts identified in Appendix 1; and 

(e) in any proceedings arising out of this Agreement, the prevailing party recovers all reasonable legal costs (including court fees, expert fees and legal fees), regardless of the amount in dispute and regardless of any law, rule or enactment that would otherwise cap recoverable costs. This applies in any jurisdiction and binds successors and assigns. 

8.3.4 Either of us can still start summary proceedings to enforce performance, prevent further damage, protect a legal right or remedy, or stop misuse of confidential information or intellectual property; this clause 8.3 does not stand in the way of that. 

9. Ending the Agreement 

9.1 Termination  

9.1.1 If either of us is in material breach of this Agreement, and the breach can be put right, the other can serve notice requiring it to be remedied within 30 days. If it is not put right by then, the non-defaulting party can terminate the Agreement (or any element of the Products that is affected, where it can effectively be severed) by serving a further notice. Termination takes effect immediately on receipt of that further notice, unless we agree otherwise in writing. 

9.1.2 The same process applies at Order level. If the breach is of a particular Order, the non-defaulting party can terminate that Order, the whole Agreement, or just the affected element. If the same breach affects multiple Orders, the non-defaulting party can terminate all affected Orders by a single notice. 

9.1.3 Either of us can terminate the Agreement immediately if the other suffers an insolvency event or is in material breach that cannot be remedied. 

9.1.4 We can suspend or terminate an Order (and, if applicable, this Agreement) at any time if We reasonably believe that You, any of Your Permitted Users or Authorised Users has become a Sanctions Target, and/or if continuing to supply the Products and/or Services to You or to any of Your Permitted Users or Authorised Users would cause Us to breach any legal or regulatory obligation. You must notify Us promptly if You become aware that You, any Permitted User or any Authorised User has become a Sanctions Target. 

9.2 What happens at the end 

9.2.1 When the Agreement or an Order ends, in whole or in part: 

(a) We both will promptly pay the other anything already owed in relation to the terminated part, save for where payment would not be permitted under law; 

(b) on request, we both will delete or return any confidential information — either of us can keep what the law requires us to keep; 

(c) You, Your Permitted Users and Your Authorised Users will stop using the Products and Services, and on Our request return or destroy any copies as soon as reasonably practicable; 

(d) if We request, You will certify in writing that You have stopped using the Products and Services and removed any Software; 

(e) We will manage Your exit from the Products in line with any applicable exit policy (and, in the absence of one, in line with applicable law and good industry practice), and We will stop accessing Your equipment; and 

(f) We will act on Your instruction to return or delete personal data in line with the Data Processor Terms. 

9.2.2 Any provision of this Agreement that is expressed, or by its nature is intended, to survive termination, continues to apply.  

10. Other terms 

10.1 How We give each other notice 

10.1.1 Other than termination notice at the end of a term or under clause 9.1.4, which must be given through Our Access digital assistant at this page: https://help-financehub.theaccessgroup.com/en/articles/11662394-our-account-support-experience, any notice, claim or demand under this Agreement must be 

(i) in writing 

(ii) in English 

(iii) given by email or by pre-paid first-class letter to the registered office of the Access entity You contract with 

(iv) expressed as a notice under these terms; and  

(v) addressed for the attention of the appropriate person.  

Nothing here displaces any service provisions under any applicable Civil Procedure Rules. 

10.2 Changes to these terms 

10.2.1 We can only vary these terms in writing, signed by both of us (or our authorised representatives). The exception is that We can amend these terms unilaterally, immediately on notice to You, to comply with applicable law. A purchase order, a side document or an email exchange will not vary these terms (unless it is the legal-compliance amendment We just described). 

10.3 Force majeure 

10.3.1 Other than payment of amounts due under this Agreement, if either of us is prevented from performing this Agreement by an event beyond our reasonable control and not caused by our fault or negligence (including pandemic-related disruption, but not strikes or labour issues involving Our or Your own employees) (“Force Majeure Event”), the affected party will provide prompt notice. While the event continues, the affected party has no liability for the affected performance, and will use reasonable efforts to overcome the cause as soon as practicable. If the event lasts for 45 days or more, the non-affected party can terminate this Agreement by written notice, provided that notice is provided no later than 15 days after the 45th day of the Force Majeure Event. 

10.4 No third party rights 

10.4.1 This Agreement is between Us and You. Nothing in it confers rights on any third party, and the Contracts (Rights of Third Parties) Act 1999 does not apply, in any jurisdiction. The exception is where this is specifically provided for in any Product Specific Terms in relation to third party providers under this Agreement.  

10.4.2 Permitted Users have the status of licensee, but no direct contractual relationship with Us (apart from Us and You). You agree that any and all claims arising in connection with this Agreement shall be brought by You. You shall indemnify Us against all costs, claims, demands, expenses and reasonable legal costs and liabilities of whatever nature incurred by or awarded against Us as a result of any claim brought against Us by any Permitted User (unless that Permitted User's claim is under a separate agreement they have with Us in their own right).  

10.5 Assignment 

10.5.1 You cannot assign, transfer, charge, hold on trust, or otherwise deal with Your rights or obligations under this Agreement. We can transfer or assign this Agreement to a current subsidiary or parent company, or to a successor in interest on a sale or merger, on notice to You. 

10.6 Marketing references 

10.6.1 We may refer to You as a client and a user of Our Products in Our marketing and public relations materials only where We have obtained Your prior written consent on each occasion. 

10.7 Compliance with law 

10.7.1 Each of us complies with all applicable laws, statutes and regulations under the governing law that applies to this Agreement. 

10.8 No waiver 

10.8.1 A failure or delay in exercising a right or remedy does not waive that right or remedy, or any other. 

10.9 Severability 

10.9.1 If any part of this Agreement is held to be illegal, invalid or unenforceable, the rest continues in force, and We will try to replace the invalid part with a valid one that achieves the same economic, legal and commercial objectives as far as possible. 

10.10 Governing law and jurisdiction 

10.10.1 The governing law and exclusive jurisdiction of this Agreement are set out at Appendix 1, A1.2 by reference to the Access entity You contract with. Subject to the disputes process in clause 8.3, we both submit to that jurisdiction. 

10.11 DORA 

10.11.1 If You fall within the scope of Regulation (EU) 2022/2554 (DORA), together with any amending regulations, Our DORA Addendum applies to Your Agreement. 

10.12 Entire agreement 

10.12.1 This Agreement is the entire agreement between us on its subject matter, and supersedes all other proposals and agreements, whether electronic, oral or written, between us. You acknowledge that You have not relied on any pre-contractual statement. We object to and reject any additional or different terms proposed by You, including those contained in Your purchase order, acceptance, supplier portal, or website.
