Audit Conditions

These Audit Conditions apply where You (or a third party You authorise) need to audit Us, either as agreed with Us or as explicitly permitted under the Agreement. They form part of the Agreement. Where a capitalised word is used in these terms but is not defined here, it has the meaning given to it in the Core Terms.

1. Conditions

You acknowledge and agree that all audits are subject to the following conditions:

(a) You will give Us no less than 14 calendar days' notice of Your intention to audit;

(b) You will submit all audit requirements in advance of the proposed audit date (and in any event at least 7 calendar days before);

(c) where reasonable, You will accept documentation or other evidence to fulfil audit requirements in advance of the audit date, to minimise disruption to Us;

(d) You will not record (by video or other means) anything relating to the audit unless We have given prior written consent;

(e) any third party You authorise to carry out the audit must enter into confidentiality obligations directly with Us, in advance of the audit date; and

(f) You will use all reasonable endeavours to minimise any business interruption to Us during the audit.

1.1 If You fail to meet any of these conditions, We may, at Our discretion: (a) postpone the audit; (b) terminate the audit early; and (c) require the immediate deletion or return of any recordings taken without Our prior written consent. These rights are do not limit any other rights and remedies We may have.

2. Our commitment

To ensure the safety and security of Us, Our customers and Our representatives, all audits will be:

(a) remote only (where local government advice mandates or recommends it);

(b) limited to half a day, unless We clearly agree otherwise;

(c) conducted Monday to Friday (excluding UK bank and public holidays) between 0900 and 1700 (BST or GMT, as applicable); and

(d) conducted in accordance with Our ISO 27001 controls. We can refuse to share anything that might put Our security (including Our data), Our customers' data, or Our people's rights and freedoms at risk. This is entirely Our decision to make..

3. Costs

3.1 Unless the Agreement expressly states otherwise, all audits are charged on a time-and-materials basis at prevailing rates. Our day rate as at the date of these Audit Conditions is GBP 800.00. This rate may change from time to time, and We will provide an accurate quote on request.
