Software Product Specific Terms
These Software Terms are supplementary to the Core Terms and apply where You licence on-premise Software from Us. They form part of the Agreement. Where a capitalised word is used in these terms but is not defined here, it has the meaning given to it in the Core Terms.
1. Your licence to use the Software
1.1 In consideration of, and conditional on, payment of the Initial Licence Fee to Us (if applicable) and the continued payment of the Subscription Licence Fee (on the terms set out in Your Order), We grant the Youa non-exclusive, revocable, non-transferable Licence, with no right to grant sub-licences. The Licence starts on the date of this Agreement and continues for the Licence Term. The Software may not be used unless the Subscription Licence Fee is paid in full.
1.2 You may make such copies of the Software as are reasonably required for bona fide operational purposes, security and backup only, and must mark those copies as proprietary to, copyright of, and licensed by, Us. No other copies may be made. You may not copy the Documentation, manuals or other documentation (including electronic documentation) other than for use by Permitted Users without Our written permission.
1.3 The You may use the Software to create and service up to five databases (including any used only for training, testing or disaster recovery). The Licence can be extended to service additional databases if You buy additional Licence components from Us, as agreed in an Order.
1.4 Unless an Order says otherwise, the Licence covers use of the Software where the database(s) reside on a single SQL server instance only. Use of the Software is limited to processing Yourown data. For the avoidance of doubt, You may not provide services to third parties using the Software.
1.5 The Software is treated as accepted by You unless You notify Us otherwise within 60 days of installation or supply of the initial activation keys.
1.6 We will provide upgrades to the Software You are licensed for free of charge, within a reasonable period of them becoming available. Services to install upgrades are normally chargeable. Subject to payment of the relevant Support Fee, We will provide technical support for the version of the Software You use from time to time, in accordance with this Agreement.
1.7 We will use reasonable endeavours, in accordance with good industry practice, to prevent the introduction of known computer viruses or other code likely to damage the Software or the Customer Equipment, and will check each release of the Software with the diligence expected of an organisation like Us using up-to-date virus-scanning software.
